Tradeweb Buys Bond-Trading Platform Trumid for $1.97 Billion
The deal, funded mostly from cash on hand, is Tradeweb's biggest push yet into corporate credit and sent its own shares down 11% on the day of announcement.
Tradeweb Markets agreed Monday to acquire Trumid Holdings, an electronic credit-trading marketplace, for approximately $1.97 billion, the company said in a press release that also landed as an 8-K with the SEC.
The market's first read was skeptical. Tradeweb shares fell as much as 11.3% on the day of the announcement before recovering some ground, according to Investing.com. That move erased more than $2.5 billion of Tradeweb's market cap at its intraday low, a sharper penalty than the deal's own price tag.
On paper, the price breaks into two buckets. Of the $1.97 billion headline figure, $1.75 billion is attributed to the Trumid business itself and roughly $220 million to tax assets acquired, the latter valued using a 7% discount rate, according to the company's 8-K filing reviewed by ETL Newswire. Tradeweb plans to fund $1.89 billion of that in cash, drawn primarily from existing reserves, with $82 million paid in Tradeweb equity.
For Tradeweb, the strategic argument is straightforward even if investors weren't immediately buying it. The company already runs one of the largest electronic venues for government bonds and interest-rate swaps, facilitating more than $3.0 trillion in daily volume across asset classes, according to the 8-K. Trumid sits in a different and murkier part of the market: U.S. dollar-denominated investment-grade, high-yield, distressed, and emerging-market corporate bonds, the corners of fixed income that have been slower to migrate to electronic venues than Treasuries.
The acquisition adds grey-market and new-issue trading capabilities to Tradeweb's existing suite, according to the company's press release. The combined platform will offer multiple trading protocols, including Tradeweb's own AllTrade alongside Trumid's Swarms and Attributed Trading tools.
Tradeweb CEO Billy Hult, in a statement to Investing.com, said the deal represents "an important step forward in our ambition to make credit markets more efficient." That's the kind of forward guidance a markets-desk reporter notes and sets aside. What's already baked in is that both boards voted unanimously to approve the transaction, and a first-half 2027 close is targeted, pending HSR antitrust clearance, UK CMA review, and FINRA approval, according to a filing reviewed by ETL Newswire.
Tradeweb also said the deal is expected to be accretive to adjusted earnings per share within the first full year after closing, with accretion growing in subsequent years, per the Investing.com report on the press release. Accretion guidance from an acquirer in an announcement is worth tracking but not treating as a given; it depends on integration execution and market-share retention that neither party controls.
The deal is notable for its timing. Bank of America had reportedly flagged Trumid's market-share gains as a threat to Tradeweb just before the deal was announced, according to Startup Fortune, which also reported the intraday stock drop. Buying a competitor that analysts had just identified as a competitive risk limits the headline multiple to some extent, but it also confirms Tradeweb viewed the platform as a genuine threat.
With a market cap of roughly $24.2 billion before the deal announcement, Tradeweb is spending about 8% of its pre-deal market value on a platform it's characterizing as a capability extension. Whether the corporate credit market rewards that math will show up first in quarterly volume data, not in Monday's press release.
