Schneider Electric Pays $22.6 Billion for PTC in Largest Deal in Company History
The French energy infrastructure giant is betting that owning Boston-based PTC's industrial design and lifecycle software will let it capture more of the AI-driven datacenter buildout.
Schneider Electric agreed on Oct. 5 to acquire Boston-based industrial software maker PTC for $22.6 billion in cash, the largest transaction in the French company's history. Schneider will pay $205 per share, representing a 42.3% premium to PTC's last closing price. The deal implies an enterprise value of $23.7 billion.
PTC provides computer-aided design, product lifecycle management, application lifecycle management and service lifecycle management software and serves more than 30,000 customers globally. The Boston-headquartered company generated EUR 2.4 billion in revenue in calendar year 2025, with an adjusted EBITA margin of about 40%. That margin is the number Schneider is really buying: sticky enterprise software at a valuation its CEO is calling compressed.
Schneider's own shares fell nearly 10% in early Paris trading, as investors weighed the size of the acquisition, the big premium and the outlook for software company valuations amid AI-related market uncertainty. Up to Friday's close, Schneider's shares were up 29% year-to-date before Monday's losses wiped off close to EUR 15 billion ($17 billion) from its market capitalization. PTC shareholders had a better morning: PTC shares jumped 34.4% in U.S. premarket trading.
The market's skepticism is understandable given the premium, and the bull case depends heavily on a thesis Schneider's CEO spelled out on a Monday investor call. CEO Olivier Blum told investors that owning PTC and Cognite together would enable the company to inject software-defined automation into power systems early in their development, improving efficiency in the process. That's a promise about future cross-selling that carries no guarantee.
Jefferies, in a note to investors, wrote that "AI disruption fears are still weighing on software valuations, which allows acquiring PTC at a decade low valuation but could still weigh on Schneider post deal." Berenberg analyst Nay Soe Naing told Reuters the deal presented a healthy valuation amid a compressed valuation environment and challenging investor sentiment across the software space. Both readings are consistent with buying cheap into a sector the market doesn't fully trust right now.
PTC is Schneider's largest-ever acquisition, topping its $11 billion purchase of Aveva in 2023, and its third billion-dollar-plus deal this year. The transaction follows Schneider's June agreement to buy Cognite Holding, a privately held provider of AI software and industrial data. The sequencing matters: Schneider is assembling a software stack piece by piece around a hardware backbone it already owns.
Schneider, once known primarily for industrial components like fuses and circuit breakers, now builds the backbone of datacenters, supplying everything from cooling units and server racks to critical power distribution equipment. The PTC deal is a bet that selling software into that installed base is worth paying a steep premium during a moment of sector doubt.
Schneider said conclusion of the transaction is expected by Q3 2027, subject to customary closing conditions. Regulatory hurdles remain, and the deal isn't expected to close until late next year. That's a long runway, and a lot can happen to software valuations between now and then.
