Santander Closes $12.3B Webster Acquisition, Vaults Into U.S. Top Ten

The Federal Reserve's August 4 sign-off cleared the last regulatory hurdle for Spain's Banco Santander to absorb Webster Financial, reshaping the Northeast retail-banking map.

Banco Santander absorbed Webster Financial Corporation on or around August 20, completing a $12.3 billion deal that puts the Spanish banking giant among the ten largest retail and commercial banks in the United States by assets.

The Fed's sign-off on August 4 was the final piece. The Office of the Comptroller of the Currency had approved the transaction in June, and the European Central Bank cleared it in late July. According to a press release reviewed by PR Newswire, the combined regulatory queue ran from June through early August before the deal could close.

The deal's mechanics were fixed when the transaction agreement was signed on February 3, 2026. According to Webster's 10-Q filing reviewed by ETL Newswire, holders of Webster common stock received $48.75 in cash plus 2.0548 Banco Santander American Depositary Shares for each Webster share they owned. Webster stockholders voted to approve the transaction on May 26, 2026.

The two sides put the aggregate value at slightly different figures. Webster's own 10-Q pegged it at approximately $12.3 billion based on Santander's February 2 closing stock price; Santander's filings cited $12.2 billion. Neither party disclosed a straight premium to Webster's prior close, offering instead a figure of roughly 16% to Webster's ten-day volume-weighted average price and more than two times tangible book value, according to a deal tracker published by Dealroom.

For Santander, the U.S. footprint has long been its soft underbelly. According to a Form 425 filing Webster submitted to the SEC, the combined entity will rank as a top-five deposit franchise across key Northeastern states. Most of Webster's businesses will be folded into Santander Bank, N.A., the Madrid-based bank's existing U.S. retail arm.

Webster brought meaningful heft to the table. According to Citybiz, Webster Bank carried more than $80 billion in total assets, spanning commercial banking, healthcare financial services, and consumer banking, all concentrated in the Northeast corridor.

Santander's own forward guidance deserves the standard market-desk skepticism. According to Funds Society's coverage of the deal announcement, Santander projected a return on tangible equity of around 18% in its U.S. market by 2028 once integration is complete, alongside earnings-per-share accretion of 7% to 8% and a return on invested capital close to 15%, all for the same year. Those targets are management's, not the market's, and 2028 is far enough out that integration execution risk has room to compound.

The deal lands against a backdrop of accelerating large-cap M&A. According to PwC's mid-year global M&A trends report, megadeal values are on track to rise 40% year-over-year in 2026 if the current pace holds, with well-capitalized buyers pushing for scale. Santander's Webster play fits that pattern precisely: a major European bank buying its way up the U.S. league tables rather than building organically in a market where branch economics are grinding.

Webster will cease to exist as a standalone public company. In light of the transaction, Webster had already told investors it would stop providing forward-looking financial guidance, according to its most recent 8-K earnings release filed with the SEC.
