Penske Automotive Agrees to $16.3B Take-Private by Penske Corp. and Mitsui
The NYSE-listed auto retailer's two largest shareholders will pay $212 per share in cash, a deal valuing the company at $16.3 billion including debt and targeting a Q1 2027 close.
Penske Automotive Group, one of the largest publicly traded auto and commercial truck retailers in the world, agreed Wednesday to be taken private by its two controlling shareholders at an enterprise value of $16.3 billion, according to an 8-K filing reviewed by the SEC's EDGAR system.
Under the merger agreement, Penske Corp. and Japan's Mitsui & Co. will pay $212 per share in cash through a jointly owned acquisition vehicle called Motown Acquisition Corp. That price represents an 8.84% premium to PAG's October 14 closing price, as reported by CBT News, and a 20.09% premium to the 60-day volume-weighted average price through July 21, the last trading day before the two firms first submitted an unsolicited proposal.
The $16.3 billion figure covers total enterprise value including debt. As noted in the 8-K filing, the deal carries no financing condition, which removes one of the more common sources of deal-break risk in transactions of this size.
Once the transaction closes, Penske Corp. will hold roughly 64% of the now-private company and Mitsui will hold the remaining 36%, according to the filing reviewed by Truck News. PAG shares will be delisted from the New York Stock Exchange.
A special committee of independent directors negotiated the terms and unanimously recommended the deal; the full board approved it. The committee's financial adviser, Moelis & Co., provided a fairness opinion. Committee chair David Hoogendoorn said the panel concluded the transaction delivered the greatest value for minority shareholders, according to the company's statement.
The deal requires both regulatory clearance and a shareholder vote, including approval from a majority of unaffiliated stockholders, a threshold that protects the roughly 27% of shares not controlled by the buyer group. Closing is targeted for the first quarter of 2027, per the 8-K.
The structure is worth reading carefully. Penske Corp. and Mitsui together owned approximately 72.6% of outstanding stock as of the filing date, and both have signed voting agreements to support the merger. That concentration means the unaffiliated vote is the real swing factor, and the premium to the pre-announcement price is the buyer group's argument for clearing it.
The initial unsolicited proposal surfaced in July, and the three months since have been taken up by committee review and negotiation. The spread between the July 21 reference price and the final deal price of $212, just 8.6% as reported by CNBC, is narrow enough to suggest the committee did not extract a dramatic walk-up from the opening bid. Whether that reading is fair to minority holders will likely come up in any proxy contest or litigation.
PAG operates automotive and commercial truck dealerships across multiple international markets and includes Penske Transportation Solutions, the parent of Penske Truck Leasing and Penske Logistics, among its subsidiaries. Roger Penske, chairman and CEO, is also known as the owner of Team Penske motorsports, but that operation and Penske Entertainment, which owns Indianapolis Motor Speedway, are separate from the automotive group and not part of this transaction.
For Mitsui, the deal consolidates a 25-year ownership stake into a controlling position alongside the Penske family. For public investors, the arithmetic is straightforward: take $212 now or wait for a vote that the buyer group already controls numerically.
