Penske Automotive Agrees to $16.3 Billion Take-Private With Penske Corp. and Mitsui
Minority shareholders will get $212 per share in cash, an 8.84% premium to Wednesday's close, with the deal targeted to close in Q1 2027.
Penske Automotive Group agreed Wednesday to exit the New York Stock Exchange in a $16.3 billion take-private, ending a months-long negotiation with the two shareholders that already controlled nearly three-quarters of its stock.
Under terms disclosed in an 8-K filing reviewed by ETL Newswire, holders of Penske Automotive common stock outside the buyer group will receive $212 per share in cash. The acquirer is Motown Acquisition Corp., an entity jointly owned by Penske Corp. and Japan's Mitsui & Co. Upon closing, Penske Corp. will hold approximately 64% of the now-private company and Mitsui the remaining 36%.
The $212 price is an 8.84% premium to Wednesday's closing price and roughly 8.6% above where the stock sat on July 21, the last trading day before Penske Corp. and Mitsui submitted an unsolicited, non-binding proposal for $210 per share, according to the filing. Shares rose about 8.4% Thursday on the news, consistent with the announced premium, which tells you the market sees little risk of a bump.
That premium is thin by historical take-private standards. What buys the deal its credibility is structure: the transaction carries no financing condition, according to the 8-K, and the investor group already owns 72.6% of the outstanding stock and has signed agreements to vote in favor of the merger. The arithmetic on a shareholder vote was settled before the announcement.
A special committee of independent directors negotiated the terms. Committee chair David Hoogendoorn said in a statement the panel concluded the deal "provided the greatest value for the Company's minority shareholders." A board vote followed unanimously.
The deal still requires regulatory clearances and the approval of a majority of votes cast by unaffiliated stockholders, per the filing. Closing is targeted for Q1 2027. Penske Automotive said it expects to continue paying regular quarterly dividends through closing, in amounts no more than $0.02 per share above the most recent quarterly dividend.
The buyer group's origins trace to July, when Penske Corp., which holds over 52% of Penske Automotive alone, and Mitsui, a 25-year shareholder per CEO Roger Penske, jointly submitted an unsolicited bid. The board formed the special committee at that point. The final price came in $2 higher than that opening proposal.
Penske Automotive operates one of the largest car and commercial-truck dealership networks in the United States. The company reported total assets of $554 billion as of September 30, 2026, according to a company release dated October 16.
The deal lands during a broader surge in U.S. M&A. According to data cited by Dealroom, global M&A reached $3.9 trillion in the first nine months of 2026, up 28% on the same period a year earlier, with the United States accounting for roughly half that total. A concentrated shareholder structure like Penske Automotive's lowers execution risk and eliminates the need for third-party financing, both factors that make a take-private more viable in a rate environment that still prices leverage carefully.
The question minority holders face is straightforward: the premium is modest, the deal is essentially done, and the stock reflects it. There's no obvious auction. The special committee's work is the only bid on the table.
