EverBank Takes $3.9 Billion Reverse Merger Route Into Public Markets Via WaFd

Florida-based EverBank will absorb Pacific Northwest lender WaFd in a structure that keeps WaFd's Nasdaq listing alive under a new name, creating a $75 billion regional bank.

EverBank Financial Corp and WaFd, Inc. announced a $3.9 billion reverse merger on September 7, handing EverBank a public-company shell without the cost and friction of a traditional IPO.

The mechanics are worth slowing down on. Under the definitive agreement reviewed by Reuters, EverBank Financial Corp merges into WaFd, with WaFd surviving as the legal holding company. WaFd then rebrands as EverBank Financial Corp and lists on Nasdaq under the ticker EVBK. Simultaneously, WaFd Bank folds into EverBank, N.A., and the national bank charter survives. EverBank is designated the accounting acquirer throughout, so while the public entity carries WaFd's corporate skeleton, EverBank's books set the baseline. The transaction is structured to be tax-free for common shareholders on both sides, according to a joint press release filed with the SEC.

Ownership math tells you who won the negotiating table. EverBank investors and equity-award holders will hold roughly 59.2% of the combined company; WaFd shareholders keep the remaining 40.8%, according to CNBC's report on the announcement. The deal would produce a regional bank with some $75 billion in assets, the Wall Street Journal reported, citing the companies' statement.

WaFd's board sold this to shareholders on accretion. The companies said the merger, which is expected to close in early 2027, is projected to increase WaFd's 2027 earnings per share by roughly 29%, with tangible book value dilution earned back in under two years, as reported by Reuters. The transaction is also expected to produce a return on tangible common equity of approximately 15% after full realization of cost synergies, according to a joint press release published on WaFd's investor relations page. That 15% ROTCE figure is management's projection, not a guarantee, and it depends on synergies that haven't been identified publicly in detail.

The combined network would span more than 250 financial centers, with the companies arguing the deal diversifies their deposit base and stabilizes funding, according to StockTitan's analysis of the SEC filing. That pitch is familiar in bank M&A and deserves a look at deposit concentration data once a proxy is filed.

Regulatory and shareholder hurdles remain. The $3.9 billion deal is agreed but not closed, and completion is subject to regulatory approval and a WaFd shareholder vote. WaFd said it will file a proxy statement for that vote, per StockTitan's report. Given the current OCC and FDIC posture on regional bank consolidation, the regulatory calendar will be the variable most worth watching heading into 2027.

For EverBank, the structure is a calculated shortcut. A de novo IPO in this rate environment carries underwriting risk and timeline uncertainty. Folding into WaFd's listed shell trades a minority stake for immediate public-market access, a branch network across the Pacific Northwest, and a balance sheet that, combined with EverBank's Florida-anchored commercial lending book, reaches a scale where funding costs should fall. Whether the 29% EPS accretion materializes depends on how much of that synergy story the combined management team can actually execute.
