C.H. Robinson Buys Rival RXO for $5.8 Billion to Dominate North American Truck Brokerage

C.H. Robinson Worldwide agreed Monday to acquire RXO Inc. in a deal worth roughly $5.8 billion, folding one of its closest truck-brokerage rivals into a combined operation that management says will carry an enterprise value north of $25 billion.
The merger agreement was signed October 4, according to a filing reviewed by GuruFocus with the U.S. Securities and Exchange Commission. Under standard terms, RXO shareholders receive $17.25 in cash and 0.0856 of a C.H. Robinson share for each RXO share they hold, implying $30.25 per share. That's a 29% premium to RXO's closing price the prior Friday, according to reporting by Inbound Logistics.
